Subicom Software Policy
Subicom Software Policy IMPORTANT: READ THIS AGREEMENT CAREFULLY. IT IS A LEGAL CONTRACT GOVERNING YOUR USE OF SOFTWARE AND SUBICOM'S TECHNOLOGIES' COLLECTION AND USE OF CERTAIN PERSONALLY IDENTIFIABLE INFORMATION. BY CLICKING THE "ACCEPT" OPTION OR USING THIS SOFTWARE PRODUCT (THE "SOFTWARE"), YOU (ON BEHALF OF YOURSELF AND YOUR EMPLOYER OR THE PARTY NAMED ON THE INTERNET SERVICE AGREEMENT WITH SUBICOM INC.) AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ACKNOWLEDGE THAT SUBICOM MAY COLLECT CERTAIN PERSONALLY IDENTIFIABLE INFORMATION RELATED TO YOUR USE OF THE SOFTWARE, AS EXPLAINED IN DETAIL IN SECTION 7 BELOW AND IN OUR PRIVACY POLICY.

You are not required to accept these terms but, unless and until you do, you will not have access to and will not be authorized to use the Software.

END USER SOFTWARE LICENSE AGREEMENT

1. Definitions.
a. Authorized Purposes means use of the Software by management and employees of companies who are subject to the terms of a Subicom Internet Service Agreement or Subicom Internet Marketing Service Agreement, for the purpose of using the Software for the purposes which it was intended.

b. Applicable Conditions means the terms and conditions specified (i) within this document, (ii) within the Subicom Internet Service Agreement or Subicom Internet Marketing Service Agreement. Applicable Conditions may include, without limitation, any terms or conditions specifying the duration of the Term and the maximum number of users, computers or locations at which you are authorized to use the Software.

d. Subicom means, with respect to the Software known as Occupancy Plus, Transporter Plus, Ticketed Plus, Action Time Plus, Travel Agent Plus, Booker Plus or any other software solutions provided by Subicom Inc., a company formed under the laws of the Philippines.

e. Software means Software provided to you with or without charge, including without limitation Software (i) known as Occupancy Plus, Transporter Plus, Ticketed Plus, Action Time Plus, Travel Agent Plus and Booker Plus (ii) provided for trial or evaluation purposes, or (iii) used as a part of your job or employment.

f. Term means the period beginning on the date you or your employer entered into the Subicom Internet Service Agreement or Subicom Internet Marketing Service Agreement and continuing for the term specified by the Applicable Conditions.

2. License Grant; Related Provisions.
a. Grant of License. Subicom, subject to the terms and conditions of this Agreement, hereby grants to you a non-exclusive and non-transferable license during the applicable Term to use the Software only within an internet browser, and solely for Authorized Purposes in accordance with the Applicable Conditions. ANY USE OF THE SOFTWARE OR ONLINE SERVICES OTHER THAN AS EXPRESSLY AUTHORIZED HEREIN, OR ATTEMPT TO ACCESS OR DOWNLOAD CODES OR DATA OTHER THAN PROVIDED FOR UNDER THIS AGREEMENT OR ALLOWING ANY THIRD PARTY TO LOG IN OR VIEW THE SOFTWARE OR DATA, CONSTITUTES A MATERIAL BREACH OF THIS AGREEMENT AND MAY VIOLATE APPLICABLE PRIVACY AND COPYRIGHT LAWS.
b. Limitations. You shall not, and shall not permit any third party to, (i) download or duplicate the Software for any purpose, (ii) access the Software on any computer other than those authorized by your employer, (iii) except as expressly authorized by your employer, change, modify or otherwise alter the data, (iv) transfer, pledge, rent, share or sublicense the Software, (v) grant any third party access to or use of the Software or data, or other similar basis, or (vi) defeat or circumvent, attempt to defeat or circumvent, or authorize or assist any third party in defeating or circumventing controls on the use of the Software, (vii) divulge any personal data or information contained within the system to any party other than in direct accordance with the performance of your job.
c. Updates. SUBICOM, from time to time during the Term, may provide updates to the Software (each, an "Update"). Updates will be deemed Software for all purposes under this Agreement. You acknowledge that you must routinely download and permit installation of browser updates in order to obtain maximize the benefit from the Software Updates. As part of the software and service delivery of the SUBICOM Software, you further acknowledge that all or some portion of each Update may be installed automatically without any action on your part. In no event shall SUBICOM be obligated to provide you with Updates following the expiration or termination of the Term, and SUBICOM in its sole discretion may not provide Updates for any third party operating system, browser programs and other software other than the most current version.
d. Customer Comments. SUBICOM welcomes your comments concerning the Software, including notice that you have experienced a Software failure, error or other malfunction and suggestions for additional or different features and functions. Please send us your comments and suggestions using the web form located at http://www.subicom.com/customer-feedback. SUBICOM shall have no obligation to respond or act on to any such comments or suggestions, but you grant Subicom a perpetual, irrevocable, fully paid-up, royalty-free, worldwide right and license under your intellectual property rights (if any) to implement your comments and suggestions in the Software and other products and services offered by Subicom, its Affiliates, and their respective licensors, licensees, successors and assigns.
e. Testing, Benchmarking. You shall not, and shall not permit any third party to test or benchmark nor externally disclose or publish testing or benchmark results for any Subicom Software without Subicom's prior written consent. Requests for authorization for testing or benchmarking can be directed through testing the development group on Subicom's website www.subicom.com.

3. Renewals, Termination.
a. Termination. Subicom, in addition to such other rights may be available at law or equity, shall be entitled to terminate the license granted by this Agreement and use of the Software without liability (i) for convenience on ninety (90) days' prior notice, or (ii) for cause at any time without notice if you commit a material breach of this Agreement.
c. Effect of Termination. On the expiration or termination of this Agreement, the Software may cease functioning. Sections 4, 5, 6 and 7 will survive the expiration or termination of this Agreement.

4. Ownership.
Subicom reserves all rights in the Software not expressly granted by this Agreement. All copyrights, trademarks and other conceivable intellectual property rights in and to the Software (including, but not limited to, web pages, data files, images appearing in the Software and screen displays as well as any and all documentation relating to the Software) are owned by Subicom and are protected by United States and foreign copyright laws, international treaties and other applicable laws.

5. Warranties.
a. General. Subicom warrants that the Software will perform substantially in accordance with the applicable specifications. Your sole remedy for complaints against the performance of the Software is via the Subicom support channels.
b. Accessibility The foregoing warranty applies only to the Software as originally used, Subicom makes no warranty as to your internet connection or your availability to access the Software or the accessibility of the Software.
c. Free Software. THE PROVISIONS OF THIS SECTION 5.b APPLY IN PLACE OF SECTION 5.a WITH RESPECT TO FREE SOFTWARE. ALL FREE SOFTWARE IS PROVIDED ON AN "AS IS", "AS AVAILABLE" BASIS, WITHOUT WARRANTY AND WITHOUT SUPPORT OR OTHER SERVICES BY SUBICOM.
d. Disclaimer. EXCEPT AS EXPRESSLY PROVIDED BY SECTION 5.a OF THIS AGREEMENT, SUBICOM DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, CONNECTIVITY AND ANY OTHER SUBJECT MATTER OF THIS AGREEMENT, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY, THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE AND IMPLIED WARRANTY OF NONINFRINGEMENT. SUBICOM DOES NOT WARRANT THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT THE SOFTWARE WILL PROVIDE 100% SUITABILITY FOR ANY PURPOSE. Some jurisdictions do not allow limitations on certain implied warranties, so the above limitations may not apply to you. You may have other rights that vary from jurisdiction to jurisdiction.

6. Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUBICOM OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES WHATSOEVER, WITHOUT REGARD TO CAUSE OR THEORY OF LIABILITY (INCLUDING, WITHOUT LIMITATION, DAMAGES INCURRED FOR LOSS OF BUSINESS PROFITS OR REVENUE, LOSS OF PRIVACY, LOSS OF USE OF ANY COMPUTER OR SOFTWARE INCLUDING THE SOFTWARE, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE SOFTWARE PROVIDED HEREUNDER, EVEN IF SUBICOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SUBICOM'S LIABILITY RELATED TO THE USE OF THE SOFTWARE EXCEED THE LESSER OF THE FEES YOU ACTUALLY PAID FOR THE SOFTWARE (OR, WITH RESPECT TO FREE SOFTWARE, US$10.00). THE FOREGOING LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

7. Privacy and Security.
a. General. You acknowledge that Subicom collects certain information regarding the users of the Software, including certain personally identifiable information as well as certain information from the user's computer, including (i) certain information about your computer software and hardware such as your IP address, operating system, information about the Web browser software and version. You hereby consent to Subicom's collection and use of such information, and agree that Subicom's collection and use of such information will be governed by Subicom's Privacy Policy, currently published at http://www.subicom.com, as Subicom may revise the same from time to time.

8. Specific Terms For Third Party Products.
By accepting this Agreement you understand and agree that where applicable, any hardware equipment or third party software product and/or service supplied by Subicom shall include any warranties and/or other terms made available by the original manufacturer of such hardware, software or service and you further acknowledge and confirm that you have reviewed and accepted the terms and conditions, specific to the relevant applicable hardware, software and/or service.

9. Local Security.
By accepting this Agreement you acknowledge and agree that the local security of any computer that you use to log into the software is wholly your liability. That before leaving the direct control of the computer or passing control over to another employee that you will log out of the Software program.

10. Miscellaneous.
a. Notice. Subicom may deliver any notice or update to these license terms to you via pop-up window, dialog box or other means, even though you may not receive the notice unless and until you log into the Software. Any such notice will be deemed delivered on the date Subicom first makes it available through the Software, irrespective of when you actually receive it.
b. Complete Agreement. This Agreement constitutes the complete Agreement between the parties and supersedes all previous communications and representations or agreements, either oral or written, with respect to the subject matter hereof.
c. Amendments, Waiver. This Agreement may not be modified or changed in whole or in part in any manner other than by an Agreement in writing duly signed by both parties hereto or by a further electronic agreement presented by Subicom and accepted by you. Subicom's failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right.
d. Severability. The parties desire and intend that all of the provisions of this Agreement be enforceable to the fullest extent permitted by law. If any provision of this Agreement or the application thereof to any person or circumstances is, to any extent, construed to be illegal, invalid or unenforceable, in whole or in part, then such provision will be construed in a manner to permit its enforceability under applicable law to the fullest extent permitted by law. In any case, the remaining terms of this Agreement or the application thereof to any person or circumstance, other than those that have been held illegal, invalid or unenforceable, will remain in full force and effect.
e. Governing Law. This Agreement will be governed by the laws of the Philippines. The U.N. Convention on Contracts for the International Sale of Goods will not apply to this Agreement. The exclusive jurisdiction for any dispute will be the courts sitting in Manila, Philippines.
f. No Third Party Beneficiaries. This Agreement is intended solely for the benefit of you and Subicom. No person not a party to this Agreement may bring a cause of action pursuant to this License Agreement as a third party beneficiary hereof.
g. Language. This Agreement was originally prepared in the English language. Although Subicom may provide one or more translations for your convenience, the English version will control in the case of any conflict or discrepancy.

FOR CUSTOMERS PURCHASING ANY OTHER SERVICES FROM SUBICOM INC OR ANY OF ITS AFFILIATES OUTSIDE OF THE UNITED STATES, PLEASE SEE THE PRIVACY POLICY CONTAINED ON THE APPLICABLE WEBSITE OF THAT SUBSIDUARY OR AFFILIATE.

SUBICOM INC. recognizes that any personal information is very important to you, and that you should have a right to control the use and dissemination of that information. Subicom Terms and Conditions
Subicom Terms and Conditions This agreement ("Agreement") constitutes the terms and conditions concerning the provision of an online hotel reservation service ("Service") between you ("you", "your", "Hotel") and Subicom Inc, a company registered under the laws of the Philippines with business address at 205 GT Building, Canal Road, Subic Bay Freeport Zone ("Subicom", "we", "us", "our"). Execution of this Agreement and/or use of the Service indicates your acknowledgment and unconditional acceptance of all terms and conditions set out herein.

Our Service
As part of the Service, We will provide internet based tourism services for accommodation reservations, transportation, activities and ticketing, as well as integration to Travel Agents and Online Travel Agents (channel management) through the use of cloud based software technology (SaaS) and search engine optimization.
The products covered by this agreement are Subicom "Xtranet Plus" and Subicom "Occupancy Plus".
1. DISTRIBUTION: We will arrange for appropriate details of your Hotel ("Information") as supplied by you in the appropriate format and subject to our approval, to be distributed with to all websites and agencies ("Sites") as we consider appropriate for the purpose of driving last minute and year round reservations for your property, including but not limited to the hotels own website.
2. OCCUPANCY PLUS / XTRANET PLUS: We will provide you with the access to a fully functional property management system called Occupancy Plus ("OP") that automatically handles your on-line facility, alternatively it you do not wish to avail of the Free property management system we will provided you with a channel management tool called Xtranet Plus ("XP") to update your rates and availability (both last minute and full year), and Information about the property.
3. REFER COMPLAINTS: We will refer disputes or complaints relating to the guest's stay at your Hotel to you for resolution;
4. ACCURACY: We reserve the right, without notice, to amend or delete any Information on the Sites which, in our sole discretion, is defamatory, obscene, materially inaccurate, in breach of any law or advertising code of practice, or attempts to circumnavigate the commission payable to Subicom.
5. CONTRACTED RATES - The services performed under this contract are PERFORMANCE BASED which means we only take a commission on actual bookings our role is of a Wholesale Online Travel Provider therefore the basis for the cost price payable by Subicom for bookings made by Subicom shall be based on the hotels contracted rates, best OTA rate or fifteen percent (15%) of the rate charged to the guest whichever is the lower wholesale rate. Any charge will be inclusive of credit card/bank/paypal processing fees and any applicable taxes that may be the responsibility of Subicom. You always have the possibility to increase your commission level in order to improve your Ranking (as defined below) on the Sites.

Your Obligations
1. INFORMATION: You are responsible for updating the information held in OP or XP and ensure that all Information is accurate and up to date at all times, including prices, room availability and all other relevant Information. If the Information you provide is wrong or misleading, you agree to fully indemnify us and hold us harmless against all loss, liability or costs incurred by us as a result. Neither we nor our business partners can accept responsibility for any incorrect or over-bookings or incorrect rates which result from your failure to accurately update OP or XP.
2. GUARANTEED ROOM: In the event of an incorrect or over-booking caused by your failure to comply with your obligation number 1 above, you shall find the guest alternative accommodation of equal or better standard than, and a reasonable distance from the original Hotel, provide complimentary transport to and from the alternative accommodation and absorb the difference in room rate above the net rate agreed at the time of booking.
3. HONOR CONTRACT: You are bound to accept the guest as a contractual party, to deal with the reservation in accordance with all the information contained in it, including supplementary information and wishes made known by the guest. Our systems that we use to monitor reservations to your Hotel by email, OP or XP shall be conclusive unless you can provide credible counter-evidence.
4. RATE PARITY PRICING POLICY - You agree that the rate given to Subicom is the same or lower than offered to any other online channel and reflects the lowest rate offered publicly for your rooms or services and under no circumstance will you make any public offer, advertisement, banner offer to OTA or display offers at a lower price. Should Subicom discover any breaches of this clause you herein agree to rebate the cost difference to Subicom for all sales made during the display period of the lower price, thus enabling Subicom to promote a "Best Price Guarantee".
5. AVAILABILITY PARITY: You will ensure the maximum number of rooms set as "Availabile Online" and only block (set to not available online) the minimum number of rooms to meet the requirements of the hotel operations, at all times a minimum of 85% for Occupancy Plus and 35% for Xtranet Plus of all room types should be set to available online and that the availability you update into OP and XP will represent all your rate plans and room types as are available for sale or communicated via any other online medium, ("Availability Parity Guarantee"). As part of the Availability Parity Guarantee, you will ensure that Subicom will at all times have "last room availability" ("LRA"). LRA means that you must guarantee that your last room available on any other online channel will also be made available through Subicom.
6. PROMOTIONAL PARITY: You will ensure that the promotions and packages you update into OP or XP, and which can be supported by these systems, will represent all your promotions as are available for sale or communicated via any other online medium ("Promotional Parity Guarantee"). COPYRIGHT: You will ensure that you have all the necessary rights and authority to use and to license or authorize to use any copyrights, brands or logos referred to in your Information.
7. TRANSLATIONS AND GUEST REVIEWS EXCLUSIVE: We may translate, edit and publish guest reviews and your Information. You will not permit those translations that we have made of your Information nor our guest reviews to be used for any other sales channels apart from our own. We cannot be held liable for the content of such translations or guest reviews.
8. INTELLECTUAL PROPERTY RIGHTS - ONLINE MARKETING INCLUSION: Subicom or its affiliated companies are the owners or right holders of certain intellectual property rights, including but not limited to trademarks, copyright, service marks, logos, etc. Nothing in this Agreement shall be construed as granting you a license or any rights, implied or otherwise, to any of the Subicom intellectual property rights. You authorize us to promote your Hotel using your name with online marketing, including email marketing and/or pay-per-click (PPC) advertising. We may run campaigns at our discretion and we will pay the advertising cost on our online marketing campaigns. You may request reasonable restrictions on the type of promotion channels we select ourselves but acknowledge that, whilst we will attempt to prevent this, we do not have full control over unsolicited and/or illicit links and references to the Sites.
9. SECURITY: You will ensure that your User ID and password/PIN for OP or XP are kept confidential and that you inform us immediately of any suspected security breach.
10. CHECK-IN: All relevant guest booking information is available immediately in OP or XP once the guest has completed his reservation, although OP or XP will attempt to send an email informing the hotel of the booking, due to the unreliability of email it is the Hotels obligation to check OP and XP for upcoming bookings.
11. Use and acknowledge the website provided or enabled by Subicom as an official website and that all copyright material remains the property of Subicom.
12. Not copy or permit others to copy any portion for any purpose without the written permission of Subicom.
13. Where the website is not provided by Subicom, you agree to allow the insertion of online booking buttons and links into the properties official website where applicable and ensure to that such links remain intact.

The Hotel must ensure that the guest presents the following items upon check-in:
1. Booking Voucher generated by OP or XP during an online booking or at least a Booking Reference number; and
2. Valid photo ID which matches the name on the voucher.
The Hotel must verify these items and correctly input them into OP or XP. If any of the above items cannot be presented to the Hotel, or if the name on the photo ID does not match the name on the voucher, or in case of any other discrepancy, the Hotel must contact Subicom immediately before allowing the guest to check-in under our voucher. If the Hotel fails to verify the data, Subicom may choose to decline payment for such booking(s).

Payment
Subicom will pay the net room rates for all reservations as recorded in OP or XP. Payment will be settled by Subicom via the method you have chosen in OP or XP. In case of dispute, discrepancy or audit by legal authorities, you shall produce evidence of guest occupancy. Guests shall be solely responsible for payment of all incidental charges that they may incur in excess of the room charge as stated in OP or XP.

Ranking
The order in which hotels are listed on the Sites (the "Ranking") is determined unilaterally by Subicom using an automated algorithm which considers factors including, but not limited to, your committed and actual availability, commission percentage, conversion (the ratio of site visits to reservations made), sales of room nights, cancellations, and guest reviews.

Suspension
If we suspend the Service to your Hotel, this means that your Hotel will not be able to accept new reservations, and will not be visible on the Sites. Without prejudice to other rights we may choose to exercise, including termination, we may suspend the Service provided to you for any reason, including but not limited to: you posting incorrect or misleading Information; your failure to maintain correct Information resulting in over-bookings at your Hotel; your failure to accept a reservation at the price shown on a reservation; you overcharging us; us receiving one or more legitimate and serious complaint(s) from one or more guest(s); misuse of the guest review process; repeated or ongoing unresolved Rate, Availability and/or Promotional Parity Guarantee issues; inappropriate or unprofessional behavior towards guests or our staff; or your breach of any term of this Agreement.

Changes
We may amend the terms and conditions of this Agreement at any time. Amendments shall come into force no earlier than one month after being communicated to you. If you do not actively acknowledge or contest the revised terms before they come into force, your continued participation in the Service shall constitute acceptance of the amended terms. If you do not want to be bound by the amended terms then you may terminate in accordance with the Agreement.

Reasonable Efforts
We take care to ensure that the Service and Sites remain fully functioning. However it may, on occasions be necessary to close or suspend provision of any of the Services on the Sites for the purposes of repair, maintenance or development. Also, access to the Sites by guests or operation of any of the Services by you may be interrupted by circumstances beyond our control. We cannot accept responsibility (to the extent permitted by law) for any error, omission, interruption, defect, downtime, interruption or delay in operation or transmission or other failure to provide the Service and Sites. Subicom provides, and the Hotel accepts, the Service on an "as is" and "as available" basis and Subicom makes no representations or warranties with regard to the same.

Limitation of Liability
Without prejudice to what is set out in this Agreement, each party's liability is limited and excluded to the maximum extent permitted by law. In no event shall either party be liable to the other for loss of goodwill, loss of profits, loss of use of data, interruption of business, cost of removal and reinstallation of goods or for any indirect, special, incidental or consequential damages or other economic loss whether such damages or losses are alleged to have been caused by tortious conduct or breach of contract or otherwise even if the other party has been advised of the possibility of such damages. Save as otherwise provided for in this Agreement and without prejudice to the indemnity wording, the maximum liability of one party to the other in aggregate for any and all claims made against such other party in contract tort or otherwise under or in connection with this Agreement shall in any event not exceed the aggregate commission received or paid by such party in the three months preceding the claim. Either party's right to make a claim will be considered waived if no claim is made within 6 months after the event giving rise to such claim.

Use of Customer Data - Data Protection
You may only use the customer data and other personally identifiable information ("PII") we provide for the purposes of providing the accommodation to the guest. You may not use this data in connection with unsolicited marketing activities or offers. You will at all times use reasonable and appropriate security measures to prevent corruption of and unauthorized access to PII. Such measures will include, among other things, data encryption and channel encryption. You must notify us of any security breach as promptly as possible (not later than 1 day after discovering the breach). Each party will use all commercially reasonable efforts to ensure that the requirements of relevant data protection legislation are met in performing all obligations under this Agreement.

Term and Termination
This Agreement shall be valid for one (1) year from the date of signing by the last signatory and shall be renewed automatically at the end of the period unless terminated by either party. This Agreement may be terminated at any time for any reason by either party by giving thirty (30) days prior written notice to the other. Any existing reservations from Subicom at the time of termination shall be honored by you, and all provisions herein with respect to these reservations shall survive the termination of this Agreement.

General
1. ENTIRE AGREEMENT: This Agreement (including the Annex, if any) is the only and whole Agreement between you and us relating to the Service and supersedes and replaces any prior written or oral agreements, representations or understandings between them. This clause is without prejudice to the provisions relating to changes or the parties' rights to conclude addenda or amendments to this Agreement.
2. SEVERABILITY: In case any provision of this Agreement becomes invalid or unenforceable, the parties shall remain bound by the remainder of the Agreement and replace the invalid or unenforceable provisions with new provisions having a similar effect to the maximum extent possible.
3. WAIVER: Neither failure nor delay by a party to enforce at any time any one or more of the terms or conditions of this Agreement shall operate as a waiver thereof, or of the right to subsequently enforce all terms and conditions of this Agreement.
4. ASSIGNMENT: We may assign the delivery of the Service or parts of it to associated and affiliated companies or third parties.
5. FORCE MAJEURE: Neither party shall be liable for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to natural disasters, government restrictions, wars, terrorism, insurrections, nuclear incidents and/or any other cause beyond the control of the party whose performance is affected.
6. LEGAL COMPLIANCE: Each party will make all reasonable efforts to ensure full compliance with applicable laws and regulations.
7. REPRESENTATION & WARRANTY: The Hotel hereby certifies that it has corporate power and all required licenses, permits and authorizations of any kind to carry on its business as it is now being conducted and has the full right, power, and authority to enter into this Agreement. At the time of signing of this Agreement, the Hotel is not aware of any economic or trade sanctions or equivalent issued by national, foreign or international governmental bodies or authorities applicable to the Hotel, its employees, representatives, owners, or affiliates, which could affect their capacity to enter into this Agreement. The Hotel will indemnify and hold Subicom harmless in case of a breach of this provision.
8. NO PARTNERSHIP: This Agreement shall not constitute or imply any partnership, joint venture, agency, fiduciary relationship or other relationship between the parties other than the contractual relationship expressly provided for in this Agreement. Neither party shall have, nor represent that it has, any authority to make any commitment on the other party's behalf.
9. NO CONTROL: Subicom does not in any way (directly or indirectly, independently or in conjunction with any party) own, manage, operate or control the hotels, or any room in such hotels, covered by this Agreement.
10. GOOD FAITH: Both parties acknowledge and agree that they want to cooperate in a constructive spirit and will fulfill their obligations under this Agreement in good faith.
11. CONFIDENTIALITY: You acknowledge that the Service contains confidential and highly sensitive material. You therefore agree to maintain in strict confidence any such and other business sensitive and confidential information (including, for the avoidance of doubt, the terms of this Agreement) and apply security measures no less stringent than the measures which you apply to protect your own like information, but not less than a reasonable degree of care, to prevent unauthorized disclosure and use of the confidential information. Disclosure is only allowed with explicit prior permission or as may be required by law.
12. GOVERNING LAW AND JURISDICTION: This Agreement will be governed by and construed in accordance with the laws of The Philippines and the parties submit to the exclusive jurisdiction of the Philippine courts. Parties will attempt to settle any disputes in an amicable manner by conducting good faith discussions and arbitration first.
13. LANGUAGE: This Agreement is drawn up in the English language. Any translation into another language is for convenience and information purposes only. In case of conflict between the English language version and such translation, the English language version shall prevail. Headings in this Agreement are inserted for convenience only and shall not affect the interpretation or construction of this Agreement.
